Review the transaction as a chronology

A cross-border investment question is rarely explained by a single form. The parties, their residence, the ownership position, the funding route and the dates of earlier transactions may all matter. A useful first step is to build one chronology supported by records. For an inbound investment this may include the Indian entity’s ownership, receipts, allotment or transfer documents and earlier acknowledgements. For an overseas investment it may include the overseas entity, investment history, loans, guarantees, restructuring and ongoing reporting. The purpose is to establish the facts before selecting a regulatory route.

Pravesh Rathi & Co. can review an agreed FEMA matter from its New Delhi practice, including coordination of information and representations to authorised dealer banks or authorities within the mandate accepted. The assignment may involve a proposed transaction, a reporting gap or a response to a bank’s query. A general enquiry should describe the issue and relevant countries. Detailed transaction records and identity documents should be exchanged only through an agreed channel after the scope and information needs are understood.

Inbound investment, overseas investment and reporting

For FDI-related work, we start by identifying the investor, investee, activity, instrument and intended transaction. The review can then consider the documentation and reporting questions relevant to those facts. For ODI-related work, it is important to trace both the ownership and the financial commitment over time, rather than looking only at the latest remittance. Changes in the Indian investor, overseas entity, loan position or ownership may need to be examined together. The engagement does not assume that a route is available merely because a similar transaction was completed elsewhere.

Where earlier reporting is incomplete, the first task is to distinguish missing information, delayed reporting and a possible substantive issue. Those are different questions and should not be presented as automatically resolved by one filing or payment. We can help organise the relevant facts, identify information still required and prepare agreed correspondence. Any decision by a bank or regulator remains with that institution. Regularisation, approval, compounding treatment or the amount of any charge cannot be guaranteed from a preliminary description.

Records for a useful first review

  • Current and historical ownership charts for the Indian and overseas entities involved.
  • Investment, subscription, transfer, loan, guarantee and restructuring agreements relevant to the question.
  • Remittance and receipt evidence, bank references, UIN details and earlier filing acknowledgements where applicable.
  • A dated list of transactions, reporting steps, repayments and ownership changes.
  • Audited financial information and other records requested for the particular review.
  • Complete bank and regulator correspondence, including the latest query and response deadline.

Working with the authorised dealer bank

Different teams within a group may hold different parts of the evidence. A transaction file should reconcile legal documents, accounting entries and banking records before a representation is prepared. We can assist with an information matrix showing the issue raised, the supporting document and the proposed response. Management should approve factual representations, and unresolved differences should remain visible. Where valuation, legal documentation or another specialist input is required, the engagement plan should state who is responsible for it and how it connects to the submission.

Avoid preventable gaps in the transaction file

Typical gaps include inconsistent amounts across records, unexplained ownership changes, unsigned agreements, missing acknowledgements and assumptions about an earlier adviser’s filing. A well-organised file should preserve original records and distinguish what is verified from what still needs confirmation. A proposed solution also needs to be considered in the context of the complete history. Changing the proposed structure does not, by itself, establish that a past issue has been resolved. Use our cross-border documentation guide to organise the starting records and consult the official update hub for source announcements.

How we scope and coordinate the work

An initial enquiry is used to understand the requirement, relevant jurisdictions and timing. The firm then considers engagement acceptance and identifies the information needed for a defined scope. Deliverables, client responsibilities, communication arrangements and fees are agreed separately before professional work begins. Where more than one service is required, the workstreams should share a consistent set of facts while keeping their responsibilities clear.

For a productive first discussion, explain the decision you need to make and any deadline already set by an authority, bank or group team. Identify records that are missing and advisers already involved. Do not send passwords, identity documents or confidential client files through a general enquiry. Once an engagement and information needs are agreed, the firm can coordinate an appropriate route for supporting records. Advice and timelines depend on the circumstances; a website guide does not create an engagement or guarantee an outcome.

Frequently asked questions

Can the firm assist with AD bank or RBI correspondence?

An agreed assignment can include organising supporting information and preparing or coordinating correspondence within the accepted mandate. The bank or regulator decides the response and any approval.

Does a delayed filing always resolve a FEMA issue?

That cannot be assumed. A review must distinguish reporting delay, missing evidence and possible substantive non-compliance. The relevant facts, dates and current requirements determine the next steps.

What should an initial FEMA enquiry contain?

Identify the Indian and overseas parties, countries, transaction type, approximate amount, key dates and the latest bank or authority query. Do not send confidential supporting records through a general enquiry.
